Welcome to the Fread AI Readiness Assessment (the "App"), operated by Fread ("Fread", "we", "us"), based in Ontario, Canada. By creating an account or using the App, you agree to these Terms. If you are using the App on behalf of a business, you confirm you have authority to bind that business, and "you" means the business.

1. What the App Does

The App is an AI-powered questionnaire for small businesses. You answer questions about your business; an AI agent analyzes your answers and produces a report of "opportunities" — recommendations for using AI in your workflows (your "Report").

2. Accounts and Access

You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for activity under your account. You must be at least the age of majority in your province and using the App for business purposes.

3. Fees and What's Included

Access to the assessment is subject to a one-time fee, plus applicable taxes, as presented to you at the time of purchase. The fee includes: (a) the AI-powered assessment, (b) your AI-generated opportunity Report, and (c) a 30-minute debrief call with Fread. Fees are payable in advance and, except where required by law, are non-refundable once your Report has been generated.Assessment fee credit: if you engage Fread for an AI Opportunity Roadmap, 100% of your assessment fee is credited toward the Roadmap fee.

4. Invite Codes

We may issue invite codes granting free or discounted access. Invite codes: are for the named recipient (or their business) only; may not be resold, published, or transferred; may carry an expiry date; and may be revoked if misused. A discounted or free assessment includes the same Report unless we say otherwise when issuing the code.

5. Acceptable Use

You agree not to: (a) enter data you do not have the right to share, including other people's personal information without proper authority; (b) use the App to build a competing product, or scrape, probe, or reverse-engineer it; (c) attempt to bypass payment, access another user's data, or interfere with the App's operation; (d) submit malicious content or use the App for any unlawful purpose.

6. Your Report Is Informational Only

Your Report and everything the App produces isgeneral information, not professional advice. It is not legal, financial, accounting, tax, or other professional advice, and no consultant-client or advisor relationship is created by using the App. AI-generated content can be incomplete or wrong — review it with your own judgment and consult qualified professionals before making significant decisions.

7. No Guarantee of Outcomes

Recommendations, estimates, and any payback or savings figures in your Report are good-faith illustrations based on your answers. We do not guarantee any business outcome, savings, or results, and you are responsible for decisions you make using the Report.

8. Intellectual Property

We own the App — including its software, questionnaire, assessment logic, design, and branding. You own your inputs — the information and answers you submit. You grant us a licence to use your inputs to operate the App, generate your Report, and provide our services to you (see the Privacy Policy for how we handle your information). Your Report: we grant you a perpetual, non-exclusive licence to use, copy, and share your Report for your internal business purposes.

9. Third-Party AI Processing

Your questionnaire answers are processed by third-party AI service providers acting on our behalf to generate your Report. We use business-grade services configured, to the extent the provider permits, so that your data is not used to train their models. See the Privacy Policy for details.

10. Limitation of Liability

To the maximum extent permitted by law: (a) the App and Reports are provided "as is" without warranties of any kind; (b) our total liability arising from the App or your Report is limited to the amount you paid us for the assessment; and (c) we are not liable for indirect, incidental, special, or consequential damages, or lost profits, revenue, or data. Some provinces do not allow certain limitations, so parts of this section may not apply to you.

11. Termination

You may stop using the App at any time. We may suspend or terminate your access if you breach these Terms, with a refund of any unused paid assessment if the breach is ours or the termination is not for cause. Sections 6–10 and 12 survive termination.

12. General

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, and disputes will be resolved in the courts of Ontario. We may update these Terms; material changes will be posted in the App or emailed to you, and continued use after the effective date means acceptance. If any provision is unenforceable, the rest remains in effect. These Terms plus the Privacy Policy are the entire agreement between you and Fread regarding the App (any consulting engagement is governed by a separate agreement).

Fread operates app.fread.ca from Ontario, Canada. We handle personal information in accordance with thePersonal Information Protection and Electronic Documents Act(PIPEDA). This policy explains what we collect, why, and your choices. Colin Moffat is accountable for our privacy practices.

1. What We Collect

• Contact and account details: your name, email address, business name, and login credentials.
• Business information and questionnaire answers: what you tell us about your business, its workflows, tools, and challenges. Please don't include personal information about your customers or employees in your answers — the assessment doesn't need it.
• Payment information: processed by our payment provider; we do not store full card numbers.
• Usage data: basic technical information such as IP address, browser type, pages visited, and timestamps, used for security and to improve the App.

2. Why We Collect It (Purposes)

We use your information to: (a) create and manage your account; (b) generate your Report and deliver your debrief call; (c) process payment; (d) respond to your questions and, with your consent, follow up about our services; (e) secure, maintain, and improve the App; and (f) meet legal obligations (e.g., tax records). We collect only what we need for these purposes.

3. Third-Party AI Providers and Other Service Providers

To generate your Report, your questionnaire answers are processed by third-party AI service providers acting as our processors. We also use service providers for hosting, payments, email, and analytics — Umami (privacy-focused web analytics that sets no cookies and stores no personally identifiable information). These providers may only use your information to provide services to us, under contractual protections. We use business-grade AI offerings configured, to the extent the provider permits, so your data isnot used to train their models.

We do not sell your personal information, and we do not share it with third parties for their own marketing.

4. Storage Location and Retention

Your data is stored with our hosting provider. Some service providers (including AI providers) may process data in the United States or other countries, where it may be accessible to those countries' authorities under local law. We retain account data and Reports while your account is active and for 24 monthsafter your last activity, then delete or anonymize them; financial records are kept7 years as required by tax law. You can request earlier deletion (see below).

5. Your Rights and Choices

Under PIPEDA you may: access the personal information we hold about you; ask us to correct it; and withdraw consent to our use of it (subject to legal or contractual restrictions — withdrawing consent may mean we can't provide the App). You can also ask us to delete your account and data. To do any of these, email team@fread.ca. We'll respond within 30 days.

6. Safeguards

We protect your information with safeguards appropriate to its sensitivity, including encryption in transit (HTTPS), access limited to those who need it, reputable hosting with security controls, and strong authentication on our own systems. No system is perfectly secure, but if a breach of safeguards creates a real risk of significant harm to you, we will notify you and the Privacy Commissioner as required by PIPEDA.

7. Cookies

We use only minimal cookies: essential cookies to keep you logged in and the App working. Our analytics tool, Umami, is privacy-respecting and does not set cookies. We do not use advertising or cross-site tracking cookies. You can block cookies in your browser, but login will not work without essential cookies.

We may update this policy from time to time. We'll post the new version here with an updated date, and for material changes we'll notify you by email or in the App.
